Software License Agreement
Voting-asp.net (English)

This Software License Agreement ("Agreement") is a legal Agreement for the conditional use of the software provided herein ("Software") between you, the end-user ("USER"), and the owner of Voting-asp.net ("Voting-asp.net"). By downloading, copying or otherwise using the Program, you agree to be bound by the terms of the foregoing license.

Voting-asp.net license agreement concerns for use of this software on a single host.

0. Copyright
The Program and documentation are owned by Voting-asp.net and its suppliers and are protected by copyright laws. Therefore, you must treat the Program and documentation like any other copyrighted material except as expressly permitted in this Agreement.
All users and parties accessing this web site are hereby notified that any and all software that is made available to download from through this web site ("Software") is the copyrighted work of the Voting-asp.net.

1. License Grant
Under the terms and conditions of this Agreement you may:

You may not rent or lease the Program. You may not reverse engineer, decompile or disassemble the Program. You may not use, copy, modify, or transfer or sublicense the Program and documentation, or any copy, modification or merged portion, in whole or in part, except as expressly provided for in this Agreement.

If you transfer possession of any copy, modification or merged portion of the Program or documentation to another party in any way other than expressly permitted in this Agreement, your license shall be automatically terminated.

2. Term
The license is effective until terminated. You may terminate it at any time by destroying the Program and documentation together with all copies, modifications and merged portions in any form. It will also terminate upon conditions set forth elsewhere in this Agreement or if you fail to comply with any term or condition of this Agreement. You agree upon such termination to destroy the program and documentation together with all copies, modifications and merged portions in any form.

3. General
This agreement represents the entire agreement between you and Voting-asp.net regarding the software, documentation and unlock codes. This agreement supersedes all prior agreements. This License may be modified by Voting-asp.net. If any provision of this agreement is unlawful, void, or for any reason unenforceable, it shall be deemed severable from, and shall in no way affect the validity or enforceability of the remaining provisions of this agreement. This agreement shall be governed by German law and all recognized international treaties or conventions. You acknowledge that you have read and that you fully understand every provision of this agreement.

4. Conclusion of the Contract
The representation of the line of goods posted on voting-asp.net websites does not constitute an offer as defined by § 145ff BGB (German Civil Code). The Customer's order by e-mail shall constitute and be deemed to be an offer as defined by § 145ff BGB (German Civil Code). On request, Voting-asp.net will acknowledge receipt of the orders by e-mail. If Voting-asp.net realizes belatedly that there is an error on voting-asp.net websites e.g. in the specifications of a product, a price or the availability, Voting-asp.net shall immediately inform the Customer. The latter shall then be entitled to acknowledge the order again in accordance with the modified conditions. The contract shall be entered into upon acceptance by voting-asp.net of the Customer's order. If Voting-asp.net realizes after conclusion of the contract that the goods or services ordered are no longer available or cannot be delivered for legal reasons, Voting-asp.net may either offer goods or services of a similar quality and price or rescind the contract. The Customer disclaims being sent a declaration of acceptance, § 151 clause 1 BGB (German Civil Code). If Voting-asp.net is not in a position to accept the Customer's order, the Customer will be informed via e-mail. In case of purchase orders exceeding a certain amount, voting-asp.net reserves the right to ask for down payments. Please note that there may be immaterial variances and technical changes regarding the products represented and described on voting-asp.net websites.

5. Delivery Time
The shipping of in-stock items will be arranged within 6-9 business days (Monday through Friday excluding public holidays); Voting-asp.net will not be responsible for any loss or damage to the product during shipping. If we do not have the ordered items in stock, we will endeavour to dispatch your goods as soon as possible. In case of delay in performance of deliveries or services caused by any act beyond the reasonable control of voting-asp.net, including but not limited to acts or omissions of third parties, equipment failure, war, strikes, lock-outs, fire, flood, or any other Act of God, Voting-asp.net is entitled to perform the deliveries or services later within a reasonable period of time. In case of delay in delivery for any other reasons than those mentioned above, the Customer is entitled to fix a reasonable final deadline in writing, and is entitled to rescind the contract in case of non-performance after the deadline has expired. In case of impossibility of performance caused by unavailability of supplies, Voting-asp.net as well as the Customer are entitled to rescind the contract 2 months after the agreed delivery period has expired. Unless Voting-asp.net has caused them on purpose or they are due to gross negligence, claims for damages due to delay, impossibility of performance, or nonperformance shall be excluded, even if they have been caused before the declaration of rescission.

6. Passing of the Risk
The risk will pass to the Customer once Voting-asp.net has handed over the goods to the forwarding agent.

7. Place of Jurisdiction
The place of performance and place of jurisdiction shall be Potsdam, where Voting-asp.net is located, if the Customer is a businessman in the sense of the Handelsgesetzbuch (German Commercial Code) or a corporation under public law.
This legal relation between Voting-asp.net and Customers as well as the respective Terms and Conditions shall be governed solely and exclusively by German Law.

8. Warranty
VOTING-ASP.NET COMPONENT IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. VOTING-ASP.NET DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF, RESULTS OF, MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE OF THE PRODUCT. SHOULD THE PRODUCT PROVE DEFECTIVE, YOU (AND NOT VOTING-ASP.NET) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. FURTHER VOTING-ASP.NET DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF, OR THE RESULTS OF THE USE OF THE PRODUCT IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE; AND YOU RELY ON THE PRODUCT AND RESULTS SOLELY AT YOUR OWN RISK. VOTING-ASP.NET WILL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO SYSTEM DAMAGE, SERVICE, REPAIR, CORRECTION, LOSS OF PROFIT, LOST SAVINGS, OR ANY OTHER INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES OF ANY NATURE WHATSOEVER RESULTING FROM THE USE OR INABILITY TO USE THIS PRODUCT.
